LG Electronics Inc. and its subsidiaries (collectively “we,” “us,” or "LGE") care about your privacy. LGE provides many products and services. This privacy policy applies specifically to LGE’s Shop Time content discovery services (the "Services"), available on compatible Smart TVs or Smart Phones (your “Device”). This privacy policy does not apply to any other LGE branded products or services. The purpose of this privacy policy is to explain how we collect information, what we collect, how we use it, how we share it, and what controls and rights you have. By using the Services, you consent to the terms of this privacy policy.

A. How We Collect Information

When you use the any of the Services, we may collect information about you directly from you, automatically from your device, or from third parties.

Direct Collection. By using the Services, you may directly provide us with information. For example, you may click on a shopping item or provide us with your telephone number.

Automatic Collection. By using the Services, your Device may automatically provide us with information.

B. The Information We Collect

As a general matter, LGE collects information that may help us in providing you with the current Services and provide you with future products and services.

Basic Identifiers. We collect basic identifying information about who our customers or visitors are. For example, we may collect information about:

a) contact details (e.g., e-mail address, phone number), and

b) device details (e.g., IP Address, device type (e.g., set-top box, remote control, DVD player, etc.), device ID, AD ID, model, software version, chipset, language, and screen resolution).

Basic Identifiers may be collected directly or automatically from you when you interact with the Service.

Commercial Information. We collect information about products you have considered. We may collect this information directly or automatically.

Network Activity. We collect information about your Internet and other network activity. Such information may include how you interact with the Service (e.g., program content, viewing controls (e.g., play, stop, pause, click, etc.), browsing history, search history). We may collect this information directly or automatically.

Audio information. We may collect audio information when you use our voice search feature on your LG Smart TV. We collect this information directly.

Geolocation data. We may collect the country code or zip code for you or your Device. We collect this information directly or automatically.

Inferences about Trends and Preferences. Through the course of your interactions with the Service, we may create or collect inferences about you for purposes of creating a profile to understand you better, such as your basic preferences, predispositions, or other characteristics. We may collect this information directly, automatically, or via third party marketing, database, or analytics partners.

C. How We Use Information

As a general matter, LGE uses the information it collects to help us in providing you with the current Services, to improve the Services, and provide you with future products and services.

To provide you with functionality. We may use your basic identifiers, commercial information, network activity and audio information to provide you with the Services.

To communicate with you. We may use your basic identifiers to communicate with you. For example, we may use your phone number to send you links that will allow you to purchase products seen on relevant programming. We may also contact you about our products, services, and special promotions.

To serve you with relevant advertisements. We may use your basic identifiers, network activity, commercial information, geolocation data, and inferences to serve you with relevant advertisements and special offers.

To Complete a Transaction. We may use your basic identifiers and commercial information to facilitate your requested purchase of goods or services, including monitoring the transaction for fraud.

To provide you with support. We may use your basic identifiers in order to provide you with support for LGE products and services.

To compile statistics. We may use basic identifiers, network activity, commercial information, audio information, geolocation data, and inferences to compile statistics and other analytics about users and/or the function and usage of the Service.

To comply with our legal obligations. We may use basic identifiers, network activity, commercial information, audio information, geolocation data, and inferences to comply with any applicable legal obligations.

D. Sharing Your Information

In general, LGE may share all of the categories of information we collect within our corporate umbrella (e.g., with our corporate parent, subsidiaries, or joint partnerships) or with our external service providers in order to provide you with the current Services, to improve the Services, and provide you with future products and services, including all the purposes listed in the preceding “How We Use Information” section above. For example, LGE may share your information:

To Provide Products or Services. We may share your basic identifiers, network activity, audio information and commercial information with our service providers, who help us provide you with products or services you request on the Service. Such service providers may include customer management vendors and marketing vendors. We need to share information with these partners in order to fulfill your request, provide you with customer support, or provide other services or functions. We may also share with our parent company, subsidiaries, and affiliates in order to better serve you or maintain our business.

To Provide You With More Relevant Advertisements. In order to provide you with certain advertisements, including ads tailored to your interests based upon your information (“interest-based advertisements”), we may need to share certain information with partners who work with us and with other entities to place these ads. Interest-based advertisements may be displayed across different platforms, websites, and devices.

To Improve Our Advertising. We may share your basic identifiers, network activity, commercial information, personal characteristics and inferences with service partners who assist us in placing and evaluating the effectiveness of our advertisements and marketing campaigns.

For Legal Reasons. We may share all of the above categories of information with service partners or other outside entities as necessary to comply with our legal obligations, including compliance with any applicable law, legal process, or court order. We may also share information in order to protect and defend the rights of LGE, our users, or any other individual, to protect against fraudulent or malicious activity, to protect the safety of persons or property, to enforce our Terms & Conditions, or to cooperate with law enforcement agencies.

For Other Internal Reasons. We may share all of the above categories of information with service partners and other entities that provide LGE with certain services or assist with internal functions, such as analyzing data, maintaining the security of our systems, or ensuring our compliance with the law. For example, we may share information with auditing firms, outside attorneys in order to obtain legal advice, or with other professional advisors. Other entities that may receive information for these purposes include information security vendors, data analytics firms, quality assurance assessors, and similar types of entities. We may also share with our parent company, subsidiaries, and affiliates in order to better serve you or maintain our business.

In Connection with a Sale or Merger. If we directly or indirectly undergo a business transition (including proposed transactions), such as a merger, acquisition by another company, or sale of all or part of our assets, we may share all of the above categories of information to the successor or potential successor organization, as well as their professional advisors during the transition.

When you otherwise consent to such disclosure. We may share certain information with service partners or other entities when you direct us to share or otherwise consent to our sharing such information.

LGE does not sell your collected personal information.

E. Your control and choices

The information you submit. You are in control of the information that you choose to directly provide LGE. This privacy policy explains how LGE will treat any information that you choose to submit directly via the service. Please note that if you submit information to a public portion of an LGE Service (e.g., forums, chat rooms, product reviews, and other public posting areas), your information will be accessible by anyone and LGE makes no representations as to how other persons may use that public information. Please do not post or submit personal information to public areas within LGE Services if you do not want to make that information public.

SMS users. Although all LGE alerts and promotions are complimentary, message and data rates may apply. Depending on your text plan, you may be charged by your carrier. By enrolling in this service, you certify that you are over 18 years of age and (a) you are the account holder or (b) you have the account holder's permission to do so. Content is not available on all carriers. The service is available on AT&T, Sprint, Boost, Verizon Wireless, U.S. Cellular®, T-Mobile® & MetroPCS. SMS messaging is not compatible with all cell phone models. As mobile access and text message delivery is subject to your mobile carrier network availability, such access and delivery is not guaranteed. LGE is not responsible for any delays upon sending or receiving text messages. You may opt out of text delivery at any time by replying STOP.

Communications. From time to time, we communicate with users of the Services who subscribe to our services via email or text message. For example, we may use your email address to confirm your request, to send you information about changes to our services, and to send notices and other disclosures as required by law. Generally, you cannot opt-out of these types of necessary or informational communications, but you may unsubscribe from other emails and text messages such as promotional messages.

Should you no longer wish to receive promotional text messages from LGE, you can reply with the message “STOP” to a message after it is received or click on any “unsubscribe” link within the message. If you unsubscribe via the “STOP” method, you hereby confirm consent to receiving a confirmatory message in response to your STOP request. Message and data rates may apply.

Should you no longer wish to receive promotional emails from LGE, you may unsubscribe by clicking on the "unsubscribe" link within the text of the email.

F. Your Rights

California – California Consumer Privacy Act (“CCPA”): This document – the LGE privacy policy – provides notice to California consumers regarding the personal information collected, the sources of the personal information, the use of the personal information, a description of how LGE shares that personal information, and your California privacy rights.

You have the right to (a) know what personal information LGE collects about you (including the specific pieces of that information), how it uses that information, to whom it discloses that information, and whether it sells that information to third parties, (b) to have LGE delete your personal information, (c) to opt out of any sale of your personal information, and (d) not be discriminated against for exercising any of these rights.

As a California resident, you may appoint an authorized agent to exercise your rights on your behalf. In order for us to honor a request made by your agent, you must submit proof of your written authorization of the agent to CAprivacy@lge.com prior to submitting a request.

How to exercise your data privacy rights: LGE takes your privacy seriously. That is why LGE operates a special form for you to exercise your privacy rights. You can access that privacy form here at https://www.LGE.com/us/caprivacy or call LGE customer service at 833-660-0245 for assistance.

In submitting a request, LGE may ask you to verify your identity so that we can protect you against fraudulent requests for your information. Thus, LGE may ask you to sign into your LGE account, to provide information about your LGE products, or provide other confirming information.

California – Shine the Light. You have the right to be provided with a description of any categories of information that LGE disclosed to third parties for their direct marketing purposes and to know the identity of those third parties. To make such a request please contact us at CAprivacy@lge.com.

California – Eraser Law. If you are a California resident under the age of 18 and are a registered user of the LGE Websites, then you may request that we remove any submission you publicly posted on or in the LGE Websites. To request removal of a submission, please email a detailed description of the submission to CAprivacy@lge.com. You may also be able to log into your account and delete your own submission. LGE reserves the right to ask you to provide information that enables us to confirm that the submission in question was created and posted by you.

G. Where is your Information - International Transfer of Information

LGE is based in the United States. However, in providing you with the Services, LGE may share or transfer your information within its corporate umbrella (e.g., with its parent company headquartered in South Korea) or with external service providers that are outside of the United States.

H. Collection and Use of Information from Children Under the Age of 16

LGE Services are open to users 16 years of age and above. LGE does not knowingly collect or solicit information from anyone under the age of 16 or knowingly allow such persons to use its Services.

I. Third Party Web Sites and Cookies

This privacy policy applies solely to information collected via the Services. The Services may contain links to other web sites or services. Similarly, third parties may place cookies on your device that allow them to track your network activity while using LGE Websites and Services. Any information you provide to these third parties is subject to that third party’s privacy policy. We are not responsible for the privacy practices or the content of these other websites or third party cookies.

J. Do Not Track

Your browser may offer you a “Do Not Track” option, which allows you to signal to operators of websites and web applications and services that you do not want them to track your online activities. The LGE Website does not currently support Do Not Track requests.

K. Changes to this Privacy Policy

We reserve the right to change this privacy policy from time to time in our sole discretion. When we do, we will also revise the "last update" date at the top of this privacy policy. If material changes are made to the privacy policy, we will notify you by placing a prominent notice on the Services or via email at the email address we have on file for you. We encourage you to periodically review this privacy policy to keep up to date on how we are handling your personal information.

L. Security

We make reasonable efforts to ensure security on our systems, however, no data transmissions over the Internet or via postal mail can be guaranteed to be 100% secure. Consequently, we cannot ensure or warrant the security of any information you transmit to us and you understand that any information that you transfer to LGE is done at your own risk.

(“LGE” or “we”) welcomes you to the Shop Time services (either “Shop Time”, “Shop Time Application” or “Application”), a shoppable platform, which provides you, the end-user (either “you” or “end-user”), the ability to watch home shopping content, view product information, get help with product purchases, and receive messages with product information. Any reference to the “Application” herein includes delivery of the text messages. Please read these Shop Time Terms of Use (the “Terms”). TO AGREE TO THE TERMS OF THESE TERMS, CLICK “AGREE.” IF YOU DO NOT AGREE TO THESE TERMS, DO NOT CLICK “AGREE,” AND DO NOT USE OR ACCESS THE SHOP TIME.

Please note the arbitration provision set forth below, which, except where and to the extent prohibited by law, requires you to arbitrate any claims you may have against LGE on an individual basis. 1. Your Use of Shop Time; Access

You agree to use the Shop Time and the Applications only for personal, noncommercial use. You agree not to access or attempt to access Shop Time by means other than through the interface or software that is provided by LGE, unless LGE specifically authorizes you to do so by written agreement. You agree not to modify the interface or software in any manner, or use modified versions of the software, for any purposes including obtaining unauthorized access to the Application. You may not reverse engineer, decompile, or disassemble Shop Time, except and only to the extent that such activity is expressly permitted by applicable law. You may not remove, alter or obscure any copyright, trademark, service mark or other proprietary rights notices incorporated in or accompanying the Shop Time services. You agree that you will not engage in activities that interfere with or disrupt the Shop Time, any services offered through the Application, or any other server, network, service or website associated with the Application.

2. LGE’s Rights

LGE reserves the right, in its sole discretion, to add, remove, disable access to, block, or modify the Shop Time, including for reasons of changes to obligations or restrictions with third parties or due to a court order. LGE may limit the use of or access to certain features or portions of the Shop Time, in its sole discretion and without notice or liability.

3. Intellectual Property Rights

You agree that the Shop Time Application and its content, features, and functionality, including but not limited to the information, text, logos, button icons, images, graphics, editorial content, audio clips, video clips, software, data compilations, and the design, selection, and arrangement thereof, contain proprietary information and materials that are owned by LGE or other third parties (collectively, the “Proprietary Content”). You understand and agree that the Proprietary Content is the exclusive property of LGE or the applicable third parties, and is protected by United States and international copyright, trademark, patent and other intellectual property or proprietary rights laws, and may not be used or exploited in any way without our prior written consent. Neither you nor anyone acting on your behalf, acquire any intellectual property rights or other proprietary rights, including patents, designs, trademarks, copyrights or trade secrets relating to the Proprietary Content, except as expressly specified in an appropriate license or mutually agreed upon in writing. Except as otherwise expressly stated herein, you may not modify, copy, distribute, display, reproduce, sell, license, or create derivative works from any information or Proprietary Content, in whole or in part, including any text, images, audio, and video in any manner, without the prior written authorization of LGE or any applicable third party. Any unauthorized use of text or images may violate copyright laws, trademark laws, the laws of privacy and publicity, and applicable regulations and statutes. You agree to comply with reasonable written requests from us to help us protect our proprietary and intellectual property rights.

4. Third Party Materials and Objectionable Content

You understand, acknowledge and agree that certain content provided through the Application may provide access to products, services, web content or other third-party materials and that LGE is not responsible for such third party materials. You agree that LGE is not responsible for examining or evaluating the third party content or the accuracy of such content. LGE does not make any representations or warranties regarding, and accepts no liability in respect of, such third party materials. LGE is not responsible for the availability of these external websites nor do we endorse the activities or services provided by these websites. Under no circumstances shall LGE be held responsible or liable, directly or indirectly, for any loss or damage caused or alleged to have been caused to a user in connection with the use of or reliance on any content, goods, or services available on such external websites.

The Shop Time Application may contain links, pointers, or references to other sites and resources controlled by third parties, as well to third party products or services. Such specifications and descriptions regarding third party products or services are supplied by the respective vendor or supplier, and LGE shall have no responsibility with regard to the selection, performance, or use of these vendors or products. All understandings, agreements, or warranties, if any, take place directly between the respective vendors or suppliers and the prospective users. LGE reserves the right, in its sole discretion, to terminate links with any third parties or other websites that it deems inappropriate or inconsistent with the Application.

5. Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify and hold LGE, its directors, officers, employees, subsidiaries, predecessors, successors in interest, affiliates, and agents harmless from and against any and all loss, liability, claims or expenses (including attorneys’ fees) arising out of your breach of these Terms or your use of the Shop Time Application.

6. Warranty and Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT USE OF THE SHOP TIME IS AT YOUR SOLE RISK AND THAT ACCESS TO THE SHOP TIME IS PROVIDED TO YOU ON AN “AS IS” AND “AS AVAILABLE” BASIS AND WITHOUT ANY WARRANTY OF ANY KIND OR NATURE. LGE MAKES NO REPRESENTATION OR WARRANTY OF ANY KIND WHATSOEVER TO YOU OR ANY OTHER PERSON RELATING IN ANY WAY TO THE APPLICATION OR THE CONTENT OR COMMUNICATIONS ON THE APPLICATION, OR ANY OTHER CONTENT OR SERVICE THAT MAY BE ACCESSIBLE DIRECTLY OR INDIRECTLY THROUGH THE APPLICATION, TO THE EXTENT PERMITTED BY LAW. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW AND UNDER NO CIRUMSTANCES SHALL LGE, ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, SUBSIDIARIES, AGENTS CONTRACTORS, PRINCIPALS, OR LICENSORS BE LIABLE FOR INCIDENTAL, CONSEQUENTIAL, INDIRECT, SPECIAL, OR PUNITIVE DAMAGES OF ANY KIND, LOSS OF INFORMATION OR DATA, LOSS OF REVENUE, LOSS OF BUSINESS OR OTHER FINANCIAL LOSS ARISING OUT OF OR IN CONNECTION WITH THE LICENSE OR USE OF THE SHOP TIME APPLICATION, WHETHER BASED IN CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY OR ANY OTHER THEORY, EVEN IF LGE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF ANY LIMITED REMEDY IS DEEMED TO HAVE FAILED OF ITS ESSENTIAL PURPOSE. IN NO EVENT WILL LGE BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, PUNITIVE, EXEMPLARY, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF ANY APPLICATION OR OPEN SOURCE SOFTWARE, EVEN IF LGE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR LOSSES.

THIS LIMITATION APPLIES TO DAMAGES ARISING FROM (1) USE OF OR INABILITY TO USE THE APPLICATION, (2) COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES, (3) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS BY THIRD PARTIES, (4) THIRD PARTY CONTENT MADE AVAILABLE TO YOU THROUGH THE APPLICATION, OR (5) ANY OTHER MATTER RELATING TO THE APPLICATION.

IN ADDITION, WHEN USING THE APPLICATION, INFORMATION WILL BE TRANSMITTED OVER A MEDIUM THAT BEYOND THE CONTROL AND JURISDICTION OF LGE, ITS PARTNERS, ADVERTISERS, AND SPONSORS OR ANY OTHER THIRD PARTY MENTIONED ON THE APPLICATION. ACCORDINGLY, WE ASSUME NO LIABILITY FOR OR RELATING TO THE DELAY, FAILURE, INTERRUPTION, OR CORRUPTION OF ANY DATA OR OTHER INFORMATION TRANSMITTED IN CONNECTION WITH USE OF THE APPLICATION.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.

8. Term and Termination

These Terms are effective until terminated. LGE may terminate these Terms in whole or as it applies to your use of the Shop Time Application if you breach any of the terms of these Terms. In addition, LGE reserves the right to modify, suspend, or discontinue the Shop Time services (or any part or content thereof) at any time with or without notice to you, for any reason whatsoever, and LGE will not be liable to you or to any third party should it exercise such rights.

9. Privacy

Your use of the Application is subject to our Privacy Policy.

10. User Conduct

By using the Application, you agree to not use the Application in any manner that:

• Is designed to interrupt, destroy or limit the functionality of, any computer software or hardware or telecommunications equipment (including by means of software viruses or any other computer code, files or programs);

• Interferes with or disrupts the Application, services connected to the Application, or otherwise interferes with operations or services of the Application in any way;

• Infringes any copyright, trademark, trade secret, patent or other right of any party, or defames or invades the publicity rights or the privacy rights of any person, living or deceased (or impersonates any such person);

• Causes LGE to lose (in whole or in part) the services of our Internet service providers or other suppliers;

• Is false, misleading, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another’s privacy, hateful, or racially, ethnically or otherwise objectionable, as determined by LGEUS in our sole discretion;

• Copies, modifies, creates a derivative work of, reverse engineers, decompiles or otherwise attempts to extract the source code of the software underlying the Application or any portion thereof;

• Violates or encourages anyone to violate these Terms or any ancillary terms and conditions listed on the Application; or

• Violates, or encourages to violate, any applicable local, state, national, or international law, regulation, or order.

If you violate any of the terms of the Application, we reserve the right to terminate access to Application or any other service without further notice or explanation.

11. Miscellaneous Provisions

a. Dispute Resolution: Except to the extent prohibited by local law, if there is any controversy, claim, action, or dispute arising out of or in connection with the use of the Application or these Terms of Use, including any question regarding its existence, validity or termination (“Dispute”), both parties shall first try in good faith to settle such Dispute by providing written notice to the other party describing the facts and circumstances of the Dispute and allowing the receiving party thirty (30) days in which to respond to or settle the Dispute. Notice shall be sent to:

• You, at the address or e-mail we have on file for you.

Both you and we agree that this dispute resolution procedure is a condition precedent that must be satisfied before initiating any litigation or filing any claim against the other party. IF ANY DISPUTE CANNOT BE RESOLVED BY THE ABOVE DISPUTE RESOLUTION PROCEDURE, YOU AGREE THAT THE SOLE AND EXCLUSIVE JURISDICTION FOR SUCH DISPUTE WILL BE DECIDED BY BINDING ARBITRATION ON AN INDIVIDUAL BASIS. ARBITRATION ON AN INDIVIDUAL BASIS MEANS THAT YOU WILL NOT HAVE, AND YOU WAIVE, THE RIGHT FOR A JUDGE OR JURY TO DECIDE YOUR CLAIMS, AND THAT YOU MAY NOT PROCEED IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE CAPACITY. Other rights that you and we would otherwise have in court will not be available or will be more limited in arbitration, including discovery and appeal rights. All such Disputes shall be: (i) referred to and finally resolved in front of three arbitrators under the Consumer Arbitration Rules (“AAA Rules”) of the American Arbitration Association (“AAA”) (which rules are deemed to be incorporated by reference into this clause), (ii) the seat, or legal place, of arbitration shall be New York, United States, (iv) the language to be used in the arbitral proceedings shall be English and (v) the governing law of the contract shall be the substantive law of New York, United States. The arbitrators, and not any federal, state, or local court or agency, shall have exclusive authority to resolve any dispute arising under or relating to the interpretation, applicability, enforceability, or formation of this privacy policy, including any claim that all or any part of this privacy policy is void or voidable. The Parties waive any objection that might be made on the ground that such venue may be in an inconvenient forum.

b. Severability: In the event any provision of these Terms is found to be invalid, illegal or unenforceable, the validity, legality and enforceability of any of the remaining provisions shall not in any way be affected or impaired.

c. Enforcement of Terms: LGE reserves the right to take any steps it believes to be reasonably necessary or appropriate to enforce and/or verify compliance with any part of these Terms. You agree that LGE has the right, without liability to you, to disclose any information relating to your use of the Shop Time to law enforcement authorities, government officials, and/or a third party, as LGE believes is reasonably necessary or appropriate to enforce and/or verify compliance with any part of these Terms.

As a general matter, LGE uses the information it collects to help us in providing you with the current Services, to improve the Services, and provide you with future products and services.

To provide you with functionality. We may use your basic identifiers, commercial information, network activity and audio information to provide you with the Services.

To communicate with you. We may use your basic identifiers to communicate with you. For example, we may use your phone number to send you links that will allow you to purchase products seen on relevant programming. We may also contact you about our products, services, and special promotions.

To Provide Products or Services. We may share your basic identifiers, network activity, audio information and commercial information with our service providers, who help us provide you with products or services you request on the Service. The information you submit. You are in control of the information that you choose to directly provide LGE. SMS users. Although all LGE alerts and promotions are complimentary, message and data rates may apply. Depending on your text plan, you may be charged by your carrier. By enrolling in this service, you certify that you are over 18 years of age and (a) you are the account holder or (b) you have the account holder's permission to do so. Content is not available on all carriers. The service is available on AT&T, Sprint, Boost, Verizon Wireless, U.S. Cellular®, T-Mobile® & MetroPCS. SMS messaging is not compatible with all cell phone models. As mobile access and text message delivery is subject to your mobile carrier network availability, such access and delivery is not guaranteed. LGE is not responsible for any delays upon sending or receiving text messages. You may opt out of text delivery at any time by replying STOP.

Communications. From time to time, we communicate with users of the Services who subscribe to our services via email or text message. For example, we may use your email address to confirm your request, to send you information about changes to our services, and to send notices and other disclosures as required by law. Generally, you cannot opt-out of these types of necessary or informational communications, but you may unsubscribe from other emails and text messages such as promotional messages.

Should you no longer wish to receive promotional text messages from LGE, you can reply with the message “STOP” to a message after it is received or click on any “unsubscribe” link within the message. If you unsubscribe via the “STOP” method, you hereby confirm consent to receiving a confirmatory message in response to your STOP request. Message and data rates may apply.

F. Your Rights

California – Eraser Law. 3. Intellectual Property Rights

You agree that the Shop Time Application and its content, features, and functionality, including but not limited to the information, text, logos, button icons, images, graphics, editorial content, audio clips, video clips, software, data compilations, and the design, selection, and arrangement thereof, contain proprietary information and materials that are owned by LGE or other third parties (collectively, the “Proprietary Content”). You understand and agree that the Proprietary Content is the exclusive property of LGE or the applicable third parties, and is protected by United States and international copyright, trademark, patent and other intellectual property or proprietary rights laws, and may not be used or exploited in any way without our prior written consent. You agree that LGE is not responsible for examining or evaluating the third party content or the accuracy of such content. LGE does not make any representations or warranties regarding, and accepts no liability in respect of, such third party materials. LGE is not responsible for the availability of these external websites nor do we endorse the activities or services provided by these websites. Under no circumstances shall LGE be held responsible or liable, directly or indirectly, for any loss or damage caused or alleged to have been caused to a user in connection with the use of or reliance on any content, goods, or services available on such external websites.

The Shop Time Application may contain links, pointers, or references to other sites and resources controlled by third parties, as well to third party products or services. Such specifications and descriptions regarding third party products or services are supplied by the respective vendor or supplier, and LGE shall have no responsibility with regard to the selection, performance, or use of these vendors or products. All understandings, agreements, or warranties, if any, take place directly between the respective vendors or suppliers and the prospective users. LGE reserves the right, in its sole discretion, to terminate links with any third parties or other websites that it deems inappropriate or inconsistent with the Application.

5. Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify and hold LGE, its directors, officers, employees, subsidiaries, predecessors, successors in interest, affiliates, and agents harmless from and against any and all loss, liability, claims or expenses (including attorneys’ fees) arising out of your breach of these Terms or your use of the Shop Time Application.

6. Warranty and Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT USE OF THE SHOP TIME IS AT YOUR SOLE RISK AND THAT ACCESS TO THE SHOP TIME IS PROVIDED TO YOU ON AN “AS IS” AND “AS AVAILABLE” BASIS AND WITHOUT ANY WARRANTY OF ANY KIND OR NATURE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW AND UNDER NO CIRUMSTANCES SHALL LGE, ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, SUBSIDIARIES, AGENTS CONTRACTORS, PRINCIPALS, OR LICENSORS BE LIABLE FOR INCIDENTAL, CONSEQUENTIAL, INDIRECT, SPECIAL, OR PUNITIVE DAMAGES OF ANY KIND, LOSS OF INFORMATION OR DATA, LOSS OF REVENUE, LOSS OF BUSINESS OR OTHER FINANCIAL LOSS ARISING OUT OF OR IN CONNECTION WITH THE LICENSE OR USE OF THE SHOP TIME APPLICATION, WHETHER BASED IN CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY OR ANY OTHER THEORY, EVEN IF LGE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF ANY LIMITED REMEDY IS DEEMED TO HAVE FAILED OF ITS ESSENTIAL PURPOSE. IN NO EVENT WILL LGE BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, PUNITIVE, EXEMPLARY, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF ANY APPLICATION OR OPEN SOURCE SOFTWARE, EVEN IF LGE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR LOSSES.

THIS LIMITATION APPLIES TO DAMAGES ARISING FROM (1) USE OF OR INABILITY TO USE THE APPLICATION, (2) COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES, (3) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS BY THIRD PARTIES, (4) THIRD PARTY CONTENT MADE AVAILABLE TO YOU THROUGH THE APPLICATION, OR (5) ANY OTHER MATTER RELATING TO THE APPLICATION.

IN ADDITION, WHEN USING THE APPLICATION, INFORMATION WILL BE TRANSMITTED OVER A MEDIUM THAT BEYOND THE CONTROL AND JURISDICTION OF LGE, ITS PARTNERS, ADVERTISERS, AND SPONSORS OR ANY OTHER THIRD PARTY MENTIONED ON THE APPLICATION. ACCORDINGLY, WE ASSUME NO LIABILITY FOR OR RELATING TO THE DELAY, FAILURE, INTERRUPTION, OR CORRUPTION OF ANY DATA OR OTHER INFORMATION TRANSMITTED IN CONNECTION WITH USE OF THE APPLICATION.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.

8. Term and Termination

These Terms are effective until terminated. LGE may terminate these Terms in whole or as it applies to your use of the Shop Time Application if you breach any of the terms of these Terms. In addition, LGE reserves the right to modify, suspend, or discontinue the Shop Time services (or any part or content thereof) at any time with or without notice to you, for any reason whatsoever, and LGE will not be liable to you or to any third party should it exercise such rights.

9. Privacy

Your use of the Application is subject to our Privacy Policy.

Although all LGE alerts and promotions are complimentary, message and data rates may apply. Depending on your text plan, you may be charged by your carrier. By enrolling in this service, you certify that you are over 18 years of age and (a) you are the account holder or (b) you have the account holder's permission to do so. Content is not available on all carriers. The service is available on AT&T, Sprint, Boost, Verizon Wireless, U.S. Cellular®, T-Mobile® & MetroPCS. SMS messaging is not compatible with all cell phone models. As mobile access and text message delivery is subject to your mobile carrier network availability, such access and delivery is not guaranteed. LGE is not responsible for any delays upon sending or receiving text messages. You may opt out of text delivery at any time by replying STOP.

10. User Conduct

By using the Application, you agree to not use the Application in any manner that:

• Is designed to interrupt, destroy or limit the functionality of, any computer software or hardware or telecommunications equipment (including by means of software viruses or any other computer code, files or programs);

• Interferes with or disrupts the Application, services connected to the Application, or otherwise interferes with operations or services of the Application in any way;

• Infringes any copyright, trademark, trade secret, patent or other right of any party, or defames or invades the publicity rights or the privacy rights of any person, living or deceased (or impersonates any such person);

• Causes LGE to lose (in whole or in part) the services of our Internet service providers or other suppliers;

• Is false, misleading, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another’s privacy, hateful, or racially, ethnically or otherwise objectionable, as determined by LGEUS in our sole discretion;

• Copies, modifies, creates a derivative work of, reverse engineers, decompiles or otherwise attempts to extract the source code of the software underlying the Application or any portion thereof;

• Violates or encourages anyone to violate these Terms or any ancillary terms and conditions listed on the Application; or

• Violates, or encourages to violate, any applicable local, state, national, or international law, regulation, or order.

If you violate any of the terms of the Application, we reserve the right to terminate access to Application or any other service without further notice or explanation.

11. Miscellaneous Provisions

a. Dispute Resolution: Except to the extent prohibited by local law, if there is any controversy, claim, action, or dispute arising out of or in connection with the use of the Application or these Terms of Use, including any question regarding its existence, validity or termination (“Dispute”), both parties shall first try in good faith to settle such Dispute by providing written notice to the other party describing the facts and circumstances of the Dispute and allowing the receiving party thirty (30) days in which to respond to or settle the Dispute. Notice shall be sent to:

• LGE, at shoptime.support@lge.com or

• You, at the address or e-mail we have on file for you.

Both you and we agree that this dispute resolution procedure is a condition precedent that must be satisfied before initiating any litigation or filing any claim against the other party. IF ANY DISPUTE CANNOT BE RESOLVED BY THE ABOVE DISPUTE RESOLUTION PROCEDURE, YOU AGREE THAT THE SOLE AND EXCLUSIVE JURISDICTION FOR SUCH DISPUTE WILL BE DECIDED BY BINDING ARBITRATION ON AN INDIVIDUAL BASIS. ARBITRATION ON AN INDIVIDUAL BASIS MEANS THAT YOU WILL NOT HAVE, AND YOU WAIVE, THE RIGHT FOR A JUDGE OR JURY TO DECIDE YOUR CLAIMS, AND THAT YOU MAY NOT PROCEED IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE CAPACITY. Other rights that you and we would otherwise have in court will not be available or will be more limited in arbitration, including discovery and appeal rights. All such Disputes shall be: (i) referred to and finally resolved in front of three arbitrators under the Consumer Arbitration Rules (“AAA Rules”) of the American Arbitration Association (“AAA”) (which rules are deemed to be incorporated by reference into this clause), (ii) the seat, or legal place, of arbitration shall be New York, United States, (iv) the language to be used in the arbitral proceedings shall be English and (v) the governing law of the contract shall be the substantive law of New York, United States. The arbitrators, and not any federal, state, or local court or agency, shall have exclusive authority to resolve any dispute arising under or relating to the interpretation, applicability, enforceability, or formation of this privacy policy, including any claim that all or any part of this privacy policy is void or voidable. The Parties waive any objection that might be made on the ground that such venue may be in an inconvenient forum.

b. Severability: In the event any provision of these Terms is found to be invalid, illegal or unenforceable, the validity, legality and enforceability of any of the remaining provisions shall not in any way be affected or impaired.

c. Enforcement of Terms: LGE reserves the right to take any steps it believes to be reasonably necessary or appropriate to enforce and/or verify compliance with any part of these Terms. You agree that LGE has the right, without liability to you, to disclose any information relating to your use of the Shop Time to law enforcement authorities, government officials, and/or a third party, as LGE believes is reasonably necessary or appropriate to enforce and/or verify compliance with any part of these Terms.
